(e) “Official Website” means https://foundconf.com and any successor website designated by Organizer.

(h) “Participation Fee” means the fee payable for a Ticket as shown on the Registration Page.
(i) “Registration Page” means any page through which Organizer accepts registration for the Event, including any page on the Registration Platform.

1.2 Headings are for convenience only and do not affect the interpretation of these Terms. The words “include” and “including” are deemed to be followed by “without limitation.” All times and dates in these Terms refer to Japan Standard Time.
Article 2. Scope
2.1 These Terms apply to all applications for, and participation in, the Event.
2.2 The rights and obligations of Sponsors and speakers in those capacities are governed by separate agreements with Organizer and not by these Terms.
Article 3. Registration and Formation of the Participation Agreement
3.1 Registration shall be made through the Registration Platform unless Organizer designates otherwise. By registering, the Participant confirms that the Participant has reviewed and agrees to the terms of use and privacy policy of the Registration Platform.
3.2 The Participation Agreement is formed when Organizer accepts the Participant’s application and issues a Ticket.
3.3 Organizer may reject an application, or terminate a Participation Agreement, if (a) the application contains false information; (b) the Participant has previously committed a material breach of these Terms or the terms of any other event organized by Organizer; (c) the Participant is an Anti-Social Force; or (d) there are other reasonable grounds to believe that the Participant’s participation would specifically interfere with the smooth operation of the Event. In such case, Organizer shall refund any Participation Fee already paid, except where Organizer terminates the Participation Agreement under Article 10 or Article 11 due to the Participant’s breach.
Article 4. Participation Fees and Payment
4.1 The Participation Fee is the amount shown on the Registration Page, inclusive of applicable Japanese consumption tax, and shall be paid by the method specified on the Registration Page.
4.2 Information on the issuance of receipts and qualified invoices will be provided on the Registration Page, in the purchase confirmation email or by other means designated by Organizer.
Article 5. Ticket Transfers; Prohibition on Resale
5.1 A Participant may transfer a Ticket to another individual by submitting a request to Organizer no later than three (3) Business Days before the first day of the Event, in accordance with Organizer’s designated procedure. Upon transfer, the transferee becomes a Participant and these Terms apply to the transferee.
5.2 Participants shall not resell any Ticket or list any Ticket for sale on any auction site, flea-market app, resale platform or similar service. Organizer may refuse entry to any person presenting a resold Ticket.
Article 6. Cancellations and Refunds
6.1 As a general rule, and except as provided in Section 6.2, Organizer will not refund the Participation Fee if a Participant cancels for the Participant’s own reasons. The Participant may instead transfer the Ticket in accordance with Article 5.
6.2 If a Participant notifies Organizer of an erroneous purchase or similar circumstance within twenty-four (24) hours after purchase and no later than three (3) Business Days before the first day of the Event, Organizer shall refund the Participation Fee.
6.3 If the Event is cancelled in its entirety, Organizer shall refund the Participation Fee in full, regardless of the reason for the cancellation. If Organizer cancels the in-person portion of the Event and holds the Event online only, the holder of an in-person Ticket who requests cancellation by the deadline announced by Organizer shall be entitled to a full refund of the Participation Fee.
6.4 As a general rule, Organizer will not provide a refund for changes to some of the sessions, speakers or programs, to session times, or to the layout of the venue. However, if Organizer becomes unable to provide the principal content promised for the Ticket, Organizer shall reasonably determine whether to provide a refund, and the amount of any refund, according to the nature of the change.
6.5 If the Event takes place, Organizer will not provide a refund on the ground that a Participant was unable to attend due to transportation disruptions, weather or other circumstances.
6.6 Refunds shall, as a general rule, be made to the payment method used at the time of registration. Organizer’s liability for travel, accommodation and other expenses is governed by Article 16. Nothing in this Article limits any right of a Participant that cannot be excluded or limited under applicable law.
Article 7. Changes to or Cancellation of the Event
7.1 Organizer may change the content, dates, venue or format of the Event, or cancel the Event, where unavoidable circumstances arise, including natural disasters, outbreaks of infectious disease and circumstances relating to the venue or speakers.
7.2 Organizer shall promptly notify Participants of any such decision through the Official Website or by email to the registered email address. Refunds shall be handled in accordance with Article 6.
Article 8. Code of Conduct
8.1 Participants shall treat others with respect and shall not engage in harassment or discriminatory conduct on the basis of sex, gender identity, sexual orientation, age, disability, physical appearance, race, nationality, religion or any similar characteristic.
8.2 Participants shall comply with the code of conduct published on the Official Website (the “Code of Conduct“).
Article 9. Prohibited Conduct
9.1 Participants shall not engage in any of the following at the venue or in any online space related to the Event:

(d) video or audio recording, or live streaming, of any session without Organizer’s prior permission;
(e) photographing any materials or sessions designated as not to be photographed;
(f) publishing photographs or videos in which another Participant can be identified, without that Participant’s consent;
(g) violating the rules of the venue, or failing to follow the reasonable instructions of Organizer’s staff or venue staff; or

9.2 Section 9.1 does not restrict the exchange of business cards or networking conducted with due respect for the wishes of others.
Article 10. Remedies for Breach
10.1 If a Participant breaches these Terms, Organizer may take such measures as are appropriate to the nature and severity of the breach, including requesting that the conduct cease, refusing entry, requiring the Participant to leave the venue, suspending access to any online stream, refusing participation in future events organized by Organizer and, in the case of a material breach, terminating the Participation Agreement.
10.2 If Organizer terminates a Participation Agreement under Section 10.1, Organizer will not refund the Participation Fee.
Article 11. Exclusion of Anti-Social Forces
11.1 Each Participant represents and covenants that the Participant is not, and will not become, an organized crime group (boryokudan), a member of an organized crime group, a company affiliated with an organized crime group, a corporate racketeer (sokaiya) or any other person equivalent to any of the foregoing (collectively, “Anti-Social Forces“), and that the Participant has no socially condemnable relationship with any Anti-Social Forces.
11.2 If a Participant breaches Section 11.1, Organizer may, without any prior demand, terminate the Participation Agreement and refuse entry, and Organizer will not refund the Participation Fee.
Article 12. Personal Information
12.1 Organizer shall handle Participants’ personal information appropriately in accordance with the Act on the Protection of Personal Information of Japan and Organizer’s privacy policy.
12.2 Organizer uses Participants’ personal information (a) to operate the Event, including registration, admission control, communications and surveys; and (b) to provide information about Organizer’s products, services and events. Participants may opt out of marketing emails from Organizer at any time.
12.3 Subject to the Participant’s consent obtained at the time of registration, Organizer shall provide the following information, in electronic form, to each Sponsor that has purchased a Lead-Sharing Plan: the Participant’s name, company name, department, job title, email address and survey responses. Each such Sponsor may use this information to provide the Participant with information about its own products, services and events. Participants may contact the relevant Sponsor directly to opt out of its communications or to make inquiries regarding its handling of the information after it has been provided.
12.4 If any Sponsor receiving personal data under Section 12.3 is a third party located in a foreign country, Organizer shall take the measures required under applicable law. If, at the time of registration, the name of the relevant foreign country, the personal information protection system of that country or the measures taken by the recipient to protect personal information cannot be identified, Organizer shall provide that information through the Official Website or by other appropriate means once it has been identified.
12.5 Organizer may jointly use Participants’ personal information with Licensor for the purposes of evaluating the operation of the Event and improving services. Organizer is responsible for the management of such jointly used personal information.
12.6 Where Organizer entrusts the handling of personal information to a service provider, including Luma Labs, Inc., Organizer shall exercise appropriate supervision over that service provider.
Article 13. Photography, Recording and Publicity
13.1 Organizer and its contractors will photograph and record the Event in video and audio, and Participants may appear in such photographs and recordings (the “Recordings“). Organizer and Licensor may use the Recordings for public relations, archival, event promotion, website, social media and advertising purposes.
13.2 A Participant who wishes to avoid having the Participant’s face photographed or published should obtain and wear a designated identification lanyard (or sticker) available at registration. Organizer shall, to the extent practicable, take care to avoid featuring such Participants in published Recordings.
13.3 Participants are welcome to take photographs and post on social media, provided that they comply with Article 9.
Article 14. Intellectual Property
14.1 All intellectual property rights in the name and logo of the Event, presentation materials and other content belong to their respective owners.
14.2 Participants shall not reproduce, republish, redistribute, modify or commercially exploit any such content beyond the scope of private use without the permission of the relevant rights holder.

15.2 Participants are responsible for all equipment, network connections and communication charges necessary to view the stream.
15.3 No refund shall be given if a Participant is unable to view the stream due to the Participant’s own network environment. If the stream provided by Organizer is unavailable throughout the entire Event, Organizer shall refund the Participation Fee paid for online viewing Tickets. If any part of the stream is interrupted, Organizer shall determine the appropriate response, taking into account the extent and duration of the interruption.
Article 16. Limitation of Liability
16.1 Organizer shall not be liable for any damage arising from natural disasters, accidents, transportation or communication failures or other causes, in each case to the extent not attributable to Organizer.

This limitation shall not apply to death or personal injury, or to damage caused by Organizer’s willful misconduct or gross negligence.
Article 17. Amendments
17.1 Organizer may amend these Terms where (a) the amendment conforms to the general interests of Participants; or (b) the amendment is not contrary to the purpose of these Terms and is reasonable in light of the necessity of the amendment, the appropriateness of the amended terms and other circumstances relating to the amendment.
17.2 Organizer shall publish the amended Terms and their effective date on the Official Website or by other appropriate means before the effective date. For any amendment that is disadvantageous to Participants, Organizer shall follow the procedures required under applicable law.
Article 18. General Provisions
18.1 Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18.2 No Waiver. Any failure or delay by Organizer in exercising any right under these Terms shall not constitute a waiver of that right.
18.3 Assignment. Except for Ticket transfers permitted under Article 5, a Participant may not assign or transfer any of the Participant’s rights or obligations under these Terms without Organizer’s prior consent.
18.4 Related Terms. Participation in the Event is also subject to the Code of Conduct, Organizer’s privacy policy and any terms shown on the Registration Page.
